1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and TurboSoft ("TurboSoft", "we", "our", or "us") regarding your use of the TurboSoft software applications, utilities, website, and related services available at https://www.turbo-soft.com.

By downloading, installing, accessing, or using any TurboSoft software product, you agree to comply with and be bound by these Terms in their entirety. If you do not agree with these Terms, you must immediately discontinue use of the software and website and uninstall all copies.

These Terms apply to all versions of TurboSoft software including Turbo Batch Image Converter & Resizer Pro, Turbo Batch Image Converter & Resizer Raw, Turbo Batch Image Converter & Resizer Lite, Turbo Batch File Rename Tool, and any future products released under the TurboSoft brand.

2. Software Overview

TurboSoft develops professional desktop utilities for Windows designed for batch processing tasks including image format conversion, image resizing, RAW camera image processing, and file renaming. All software is built to operate primarily on the user's local device without requiring cloud-based processing.

All processing operations — including image conversion, batch resizing, RAW decoding, and file renaming — occur locally on the user's system. Files are not uploaded to TurboSoft servers during normal operation. An internet connection is required only for one-time license activation.

3. Eligibility

You must be at least 18 years old, or have written permission from a legal guardian, to purchase or use TurboSoft software. By using our services, you represent and warrant that you have the full legal authority and capacity to enter into this agreement.

If you are using TurboSoft software on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" refers to that entity and its authorized users.

4. License Grant

Subject to your compliance with these Terms, TurboSoft grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the software on your authorized devices for personal or commercial purposes.

The license is granted solely for lawful use in accordance with these Terms and any documentation accompanying the software. License scope (number of devices, seat count) is defined at the time of purchase and may vary by product edition.

5. License Restrictions

The license granted under Section 4 is subject to the following restrictions. You agree not to:

• ✗Reverse engineer, decompile, disassemble, or attempt to derive source code from the software
• ✗Modify, adapt, translate, or create derivative works based on the software
• ✗Distribute, resell, sublicense, rent, lease, or lend the software to any third party without written permission
• ✗Share, publish, or transfer your license key to unauthorized users
• ✗Attempt to bypass, circumvent, or disable license verification mechanisms
• ✗Use the software for unlawful, harmful, or fraudulent activities
• ✗Remove or alter any proprietary notices, labels, or watermarks in the software
• ✗Use the software to process content that violates the intellectual property rights of others
• ✗Use automated tools to scrape, replicate, or mirror TurboSoft website content without permission

All intellectual property rights related to TurboSoft software — including but not limited to source code, compiled binaries, algorithms, processing pipelines, user interface designs, logos, documentation, and trademarks — remain the exclusive property of TurboSoft.

Nothing in these Terms transfers any ownership interest in the software to users. The software is licensed, not sold. Purchasing a license grants you the right to use the software under these Terms, but does not transfer any proprietary rights to you.

TurboSoft reserves all rights not expressly granted in these Terms. Unauthorized reproduction, distribution, or exploitation of TurboSoft intellectual property may result in civil and criminal liability under applicable law.

8. Software Activation

TurboSoft software requires one-time license activation on first launch. Activation involves an internet connection to verify the email address and license key against Gumroad's purchase records.

• ●The activation request transmits only your email address and license key — no file content or personal data
• ●After successful activation, all processing is fully offline with no further network calls
• ●Re-activation using your existing key is permitted if you reinstall the software or upgrade your system

9. Payments and Refund Policy

All payments for TurboSoft software licenses are processed exclusively through Gumroad. TurboSoft does not directly collect, process, or store payment card information. Payment terms, refund eligibility, and billing disputes are governed by Gumroad's policies.

By completing a purchase, you authorize the applicable payment processor to charge your payment method for the license fee. All fees are in USD unless otherwise stated at the point of purchase.

• ●Refund denial — TurboSoft reserves the right to deny refunds in cases of license abuse, sharing, or repeated activation misuse
• ●Chargebacks — initiating a chargeback without first contacting support may result in license termination

10. Updates and Software Changes

TurboSoft may release updates to its software including bug fixes, performance improvements, security patches, format support additions, and new features. Updates are delivered through Gumroad and can be downloaded by existing license holders.

11. Acceptable Use Policy

Users must use TurboSoft software responsibly and in full compliance with all applicable laws and regulations. The software must not be used in ways that:

• ✗Process, distribute, or reproduce illegal, defamatory, or harmful content
• ✗Infringe on the privacy rights of individuals, including processing images of persons without consent where required by law
• ✗Facilitate fraud, harassment, or any other unlawful activity
• ✗Circumvent, damage, or overload TurboSoft's infrastructure or third-party services

TurboSoft reserves the right to terminate any license without refund if the software is found to be used in violation of this Acceptable Use Policy.

12. Data Processing

TurboSoft software processes files locally on the user's device. The software does not upload, transmit, or store user files, images, or documents on any external server during normal operation.

The only network activity performed by the software is during the one-time license activation step, which transmits only the user's email address and license key. No file content, metadata, folder paths, or image data is included in this request.

13. User Responsibilities

As a user of TurboSoft software, you are solely responsible for:

• ●Backing up your data — TurboSoft is not responsible for any data loss resulting from software use. Always maintain backups of original files before running batch operations.
• ●Securing your license key — your license key is tied to your email address. Keep it confidential and do not share it with others.
• ●Ensuring system compatibility — verify that your Windows version and hardware meet the minimum requirements before use.
• ●Complying with applicable law — you are responsible for ensuring that your use of the software complies with all laws in your jurisdiction, including copyright and privacy laws.
• ●Output file quality — TurboSoft provides output quality controls, but you are responsible for verifying that converted or renamed files meet your requirements before deleting originals.

14. Third-Party Libraries and Components

TurboSoft software may incorporate open-source or third-party components, libraries, and dependencies. These components are subject to their respective licenses and terms, which remain the property of their original authors.

TurboSoft is not responsible for any changes in functionality, security vulnerabilities, or licensing changes introduced by third-party dependencies. The inclusion of open-source components does not grant users any rights to those components beyond what their respective licenses permit.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, TurboSoft software and website are provided on an "AS IS" and "AS AVAILABLE" basis without any representations, warranties, or conditions of any kind, either express or implied.

TurboSoft expressly disclaims all warranties including but not limited to:

• ●Warranties of compatibility with all hardware, operating system versions, or file formats
• ●Warranties that output files will meet specific quality, format, or accuracy requirements

16. Limitation of Liability

To the maximum extent permitted by applicable law, TurboSoft and its developers, officers, employees, and agents shall not be liable for any:

In all cases, TurboSoft's total cumulative liability to you shall not exceed the amount actually paid by you for the specific software license giving rise to the claim. This limitation applies even if TurboSoft has been advised of the possibility of such damages.

17. Indemnification

You agree to indemnify, defend, and hold harmless TurboSoft and its developers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

18. Termination

TurboSoft reserves the right to terminate your license immediately and without notice if you materially breach these Terms, including but not limited to license sharing, attempting to circumvent activation, or using the software for illegal purposes.

Upon termination you must:

• ●Uninstall and delete all copies of the software from your devices
• ●Destroy any backup or archived copies in your possession

You may also terminate your license at any time by uninstalling the software. Termination does not entitle you to a refund unless a refund is separately authorized by Gumroad's policies.

Sections covering intellectual property, limitation of liability, indemnification, and governing law shall survive termination of these Terms.

19. Export Compliance

You agree to comply with all applicable export control laws and regulations in your jurisdiction governing the download, installation, and use of software. You represent that you are not located in a country subject to applicable government embargo or sanctions, and that you are not on any government prohibited-party list.

20. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of TurboSoft software, the parties agree to first attempt to resolve the matter informally through good-faith communication.

Before initiating any formal legal proceedings, you agree to contact TurboSoft at support@turbo-soft.com and allow a period of at least 30 days for TurboSoft to attempt to resolve the issue through direct communication.

If informal resolution is not achieved, any disputes shall be submitted to the jurisdiction of the courts specified under the Governing Law section below.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in India.

If you access or use TurboSoft software from outside India, you do so at your own initiative and are responsible for compliance with local laws to the extent they apply.

22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed entirely if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy and any product-specific documentation provided at the time of purchase, constitute the entire agreement between you and TurboSoft with respect to the subject matter herein. They supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to such subject matter.

No waiver by TurboSoft of any breach or default shall be deemed a waiver of any subsequent breach or default.

24. Changes to These Terms

TurboSoft reserves the right to update or modify these Terms at any time. When changes are made, the "Last Updated" date at the top of this page will be revised. Continued use of the software after the updated Terms have been posted constitutes your acceptance of the revised Terms.
